Our Client is a U.S. based global technology company and market leader. They are seeking an intermediate (5-7 years) corporate/commercial attorney with significant corporate governance, securities, transactional (M&A, divestitures, joint ventures…), compliance and executive compensation experience and familiarity with general corporate matters to join its office in California as Senior Legal Counsel.

In this role you will assist with the management and administration of the Company’s corporate legal affairs and issues and advise senior management and business units on corporate matters.

Your responsibilities will include:
• Merger, acquisition and divestiture transactions, including confidentiality agreements, due diligence, negotiation and drafting of term sheets and definitive agreements, antitrust issues, closing mechanics and integration support;
• Securities law and SEC reporting and compliance matters, including earnings press releases, periodic reports, proxy statements and annual reports, disclosure advice, and investor relations support and corporate finance;
• Corporate governance matters including support of the Board of Directors and its Committees, corporate governance policies and procedure, stock listing compliance and matters of interest to the company’s shareholders;
• Executive compensation and broad-based equity compensation matters, including equity compensation plans, cash incentive plans, the long-term performance program, compensation and governance policies; and
• General corporate matters including subsidiary maintenance and inter-company transactions.

Requirements:

You are the ideal candidate if you have:
• a J.D. from a top law school and are a member in good standing of the State Bar of California
• a minimum of 5 years relevant experience, at a top-tier law firm and/or as in-house counsel
• demonstrated hands-on experience in most, if not all, of the following areas : corporate governance, securities, transactional (M&A, divestitures, joint ventures…), compliance, executive compensation and general corporate matters
• the ability to work independently and proactively on a wide variety of tasks in a fast-paced environment with minimal supervision and the exercise of excellent judgment under pressure.
