Description:  
This is an exciting opportunity to work as a General Counsel on a part time basis for a large manufacturing and distribution company in Toronto, Ontario. This is a newly created one year contract position with the possibility of becoming a permanent role.

This new General Counsel will report directly to the CFO and be involved in both the legal and strategic aspects of the business. If you are a lawyer with strong expertise drafting and negotiating a variety of commercial agreements, have experience in IP matters, working with a Board of Directors, managing risks and providing strategic advice to an organization, then this is the opportunity for you.

Responsibilities Include:

•Managing legal risks for the organization and acting as legal “Counselor” to Senior Executives on strategic issues
•Acting as a strong negotiator for the organization
•Tracking current contracts (monitoring existing contracts – including compliance, renewal dates, milestone dates)
•Reviewing new agreements such as: sales, supply/co-manufacturing, non-disclosure, brokerage, licensing, and equipment contracts
•Dealing with employee issues and employee contracts
•Having responsibility for IP matters and agreements, such as handling trademarks issues: maintaining registration and renewals, coordinating searches for new marks, packaging review, and reviewing trademark agreements with customers
•Responsible for the maintenance of Provincial and Federal Registrations
•Supervising external legal counsel; retaining and negotiating fees with outside counsel and being the point person on such matters
•Advising the Board of Directors: corporate secretary, governance matters and the administration/interpretation of shareholder agreements and limited partnership agreements

Requirements:

You are the ideal candidate if you:

•Have an LL.B/JD and are a member in good standing of the Law Society of Upper Canada
•Have a minimum of 4 years of relevant experience in a Corporate Counsel role or in private practice. More senior practitioners are encouraged to apply and salary is commensurate with experience
•Have experience advising management on all legal aspects of a business and can develop and implement legal strategies and solutions
•Have exceptional negotiation, decision-making and analytical skills
•Are able to successfully partner with various business units to achieve results
•Are extremely well-organized with strong communication, and excellent interpersonal skills
•Are a dynamic leader with the ability to provide strong proactive support and strategic direction on all legal matters to the executive team
•Are self-motivated, resourceful, innovative and work well with minimal supervision
•Are a strong team player who engenders trust and adapts quickly to changing circumstances
•Are able to organize, multitask and focus on complex concepts
