Description:  
Our client is a rapidly expanding retail grocery chain with a commitment to quality, innovation, and customer service. They are looking for a Director, Legal and Administration to manage their Administration Department in Ottawa. This role reports to the VP, Finance.

The individual who will fill this dynamic position is responsible for preparing and reviewing offers to lease and lease agreements, managing the corporate lease portfolio, contract review and administration, trademark registrations, preparation of departmental budgets, and management of the Administration Team.

Requirements:

Responsibilities:
♦ Prepare written offers, leases and amending agreements and review, edit and liaise with legal counsel and landlord through to final agreement.
♦ Prepare and review summaries of all lease agreements, rent roll and operating cost summaries and approve year end reconciliations of common area maintenance fees (c.a.m.) and taxes.
♦ Prepare annual budget for rent, c.a.m. and taxes along with annual lease commitment summaries and including an accurate accounting of c.a.m. and realty taxes
♦ Responsible for the initiation and tracking of Tenant Allowance payments.
♦ Verify year end c.a.m and tax reconciliations for all locations and maintain organized and complete lease files.
♦ Responsible for preparation and distribution of schedule and status reports related to active and potential real estate plans and work with all members of the New Store Construction and Real Estate teams.
♦ Responsible for preparation and review of all agreements including professional services agreements/consulting services agreements, partnership agreements, confidentiality and non-disclosures agreements, promotional events, sponsorships and fundraising agreements, short term leases, service supplier maintenance contracts and various other corporate legal (litigation and trademark infringements where required).
♦ Responsible for maintenance of organized and up-to-date files of all corporate legal documents.
♦ Research and stay abreast of regulations and bylaws to ensure corporate compliance; such as Retail Business Holidays Act, Ministry of Transportation, TSSA, Measurements Canada, Liquor Control Act, Quebec NEQ, municipal noise and sign bylaws for various municipalities.
♦ Initiate and secure all required corporate licenses, permits and memberships.
♦ Responsible for preparation of Annual Stats Canada Ownership Report.
♦ Initiate new and renewal of existing trademarks in conjunction with company trademark lawyer and communicate and monitor usage throughout corporation.
♦ Liaise with VP Finance and legal counsel regarding annual and special resolutions and communicate all executed Board Meeting Minutes to legal counsel and maintain internal set of Minute Books and approve and monitor legal expenses.
♦ Approve EFT payments and cheque signing authority in the absence of Executive or VP Finance as per authorized limit.
♦ Provide supervision to and ongoing coaching of the Manager, Administration

STATEMENT OF QUALIFICATIONS

Knowledge, Skills and Abilities:
♦ Typically requires completion of a post-secondary program plus 10 years of experience in a legal setting, or an equivalent combination of education and experience
♦ Minimum 5 years’ experience of commercial real estate law for contracting and leasing
♦ Experience in preparing various legal agreements
♦ Experience leading and mentoring small admin teams
♦ Ability to work in a fast paced and high pressure environment
♦ Excellent organizational skills and ability to deal with multiple tasks and changing priorities
♦ Strong interpersonal & communication skills
♦ Keen attention to detail
♦ High proficiency in MS Office (Word, Excel, PowerPoint)
