This is an excellent opportunity for a lawyer with senior level expertise and strong business acumen to work at a leading company with a global reputation as a Vice-President – Compliance and Risk Management.

DESCRIPTION:

The Vice-President – Compliance and Risk Management reports to the Chief Financial Officer and is responsible for managing corporate compliance with all legal, regulatory or administrative requirements or conditions precedent that may apply to major transactions, projects, operations or other matters undertaken by the company and its subsidiary and affiliate companies. The Vice-President – Compliance and Risk Management will act as corporate secretary and will fulfill any duties required by the company to ensure compliance with corporate procedures and governance practices.

RESPONSIBILITIES:

• Custodian of corporate compliance with respect to laws, regulations and administrative requirements, as well as with financing arrangements;

• Management of global legal budget;

• Engagement and supervision of external counsel for major projects, transactions, operations or other matters, as well as conferral with auditors, tax advisers and other consultants, as applicable;

• Supervision of engagement of external counsel by other managers in the ordinary course of business, including the granting of legal mandates, obtaining and controlling legal mandate budgets and tracking legal services invoices;

• Manage and coordinate the implementation and maintenance of appropriate systems of compliance and corporate governance;

• Update and maintain corporate compliance and governance policies to ensure they are properly communicated and respected;

• Provide advice on compliance and corporate governance issues as required;

• Compliance and governance liaison for officers, directors and employees;

• Ensure compliance with by-laws, corporate charters and governance guidelines;

• Ensure proper onboarding of new directors;

• Initiate and prepare compliance and governance training workshops for the Board of Directors and various departments of the business units.

Requirements:

QUALIFICATIONS:

• Member of the Québec bar for 10 to 15 years, preferably with corporate and/or regulatory law experience;

• Preferably 5 to 8 years of in-house experience with a medium to large Québec company;

•  Experience working in a heavily regulated industries, including with respect to environmental, labour, financial and taxation regulations;

• Strong interpersonal skills with ability to persuade and lead people;

• Excellent English and French communication skills both verbal and written.

• Proven ability to control costs;

• Working knowledge of applicable legislation.
