This is an excellent opportunity to work as a Corporate Secretary for a large organization with a dynamic and collaborative culture.

The Corporate Secretary reports to the Executive Vice President and Chief Financial Officer and is responsible for the oversight of all corporate secretarial functions including ensuring compliance with relevant laws, statutory and regulatory authorities while maintaining the integrity of the governance framework of the organization. The Administrative Assistant, Corporate Compliance reports to the Corporate Secretary.

The responsibilities of the Corporate Secretary include maintenance of corporate records, minute taking, coordination of private placements and share transactions, administration of subsidiary companies in multiple jurisdictions and providing guidance and support to external lawyers and senior management for major transactions. In conjunction with the above, the Corporate Secretary has the responsibility to ensure the Company and its subsidiaries meet and implement best practices in corporate governance.


The Corporate Secretary supports various boards of directors, in carrying out their fiduciary duties, is responsible for the efficient administration of the organization’s group of companies and implementing decisions made by the board of directors. The Corporate Secretary is also responsible for the implementation and/or improvement of the governance framework and procedures and for ensuring relevant corporate policies and practices are in place, reviewed and reported on. In addition, the Corporate Secretary is responsible for risk management best practices with respect to commercial and corporate contracts.

• Advise the board on its roles and responsibilities and facilitate the orientation of new directors;
• Act as a liaison between the board of directors, senior management, the company’s shareholders and other relevant parties;
• Prepare agenda for, coordinate documentation and attending board and committee meetings and drafting minutes;
• Manage and coordinate the implementation and maintenance of appropriate systems of corporate governance;
• Maintaining legal software platform to ensure key corporate documents, records and corporate history are retained;
• Ensuring compliance with CBCA and other relevant provincial and state laws and regulations;
• Subsidiary management and governance;
• Responsible for coordination of all aspects of corporate transactions between senior management and outside legal counsel;
• Update and maintain corporate policies and work with business units to ensure they are properly communicated and respected;
• Initiate and prepare governance training workshops for the Board of Directors on governance best practices;
• Initiate and prepare governance training to various departments of the business units to mitigate risk with respect to the legal review and signature of contracts and agreements and the supervision of external legal counsel;
• Responsible for ensuring proper corporate governance, dealing with issues and making recommendations to the boards of directors;
• Assist in special projects as required;
• Other duties, relevant to the position, shall be assigned as required.


• Bachelor’s Degree in applicable field or certification by a relevant association;
• A legal background is considered an asset;
• Minimum 7 to 10 years’ previous experience in related role;
• Thorough understanding of the company’s business;
• Working knowledge of applicable legislation;
• Working knowledge of governance practices;
• Excellent English and French communication skills both oral and written;
• Capable of multitasking and prioritizing;
• Strong interpersonal skills.
