Description:  
Our client, a Calgary based Real Estate Development company is looking to add a Litigation Counsel/ General Counsel to its team. Reporting to the CFO, the Litigation Counsel will be responsible for handling a wide variety of dispute and litigation affairs, including complex commercial matters. You will work with internal business groups, to create risk management and mitigation strategies, and provide internal training on topics such as confidentiality, and solicitor client privilege. After getting the company through some initial litigation matters, the role will be expanded to a General Counsel role, as part of the executive management team, handling a full range of legal matters.
Your initial responsibilities will include:
• Leading or supporting the leadership of the strategy and defense of diverse routine and complex litigation to ensure that the company’s position is properly represented and/ or defended in the process of a dispute or litigation matter.
• Developing a deep understanding of facts, legal positions of the parties, strengths and weaknesses of the various parties, and preparing detailed strategy plans and memorandums that recommend the best approach and proposed methods for ultimate case resolution.
• Working with, and managing/ directing external legal counsel, monitoring the quality and effectiveness of its legal work and supervising the coordination of the legal and factual arguments advanced by the company, ensuring case effectiveness, consistency and adherence to company objectives.
• Managing litigation spending to ensure alignment with legal function goals and objectives, including the potential use of RFP processes and alternative service providers, while optimizing outcomes and minimizing business impact.

Expanded responsibilities will include:

• Acting as the main advisor to management for all legal matters relating to the company’s core activities including: property development, management, leasing;
• Coordinating all legal aspects of major transactions, including but not limited to: acquisitions, development, financing, construction, leasing as well as general corporate matters (reorganizations, corporate structuring and advisory).
• Ongoing litigation management;
• Providing in-house advice on business matters from both a legal and business perspective and applying sound business acumen and analysis to legal matters as they arise
• Drafting, reviewing and negotiating legal agreements with respect to real estate acquisition, development, financing, construction, leasing, sales and general corporate matters

Requirements:

You are the ideal candidate if you have:
• LL.B/J.D. and member in good standing in Law Society of Alberta
• Are an experienced litigator, with some exposure to corporate and real estate law, ready to expand your practice to a General Counsel role
• Have 7+ years of litigation experience at a reputable Canadian law firm or company.
• Have relevant experience in electronic discovery and electronic document management
• Possess a strong strategic perspective with an ability to understand, assess, and clearly communicate legal and commercial concepts and strategy.
• Have prior experience in real estate matters and commercial negotiations
• Excellent verbal and written communication skills
• Are comfortable in a collaborative work style, while also having strong self-initiative and ability to work independently.
• Excellent analytical and problem solving skills with a strong business acumen
• Management experience is an asset
