Description:  
Our client, a leading technology company is looking to add a Contracts and Compliance Manager to their team.

Reporting to the Director, Contracts & Legal, you will be responsible for management of the contracts and compliance functions for the company. In this role, the Contracts and Compliance Manager will work closely with multiple business units, including Sales and Marketing, Operations/Program Management, and Procurement, providing support for the drafting, negotiation, review and implementation of contracts with customers, suppliers and other stakeholders.

The role will include:

• Drafting, negotiation and review of contracts: for the sale/supply of the company’s products and services, as required; with authorized distributors, sales representatives and other third party sales channels, including conducting due diligence reviews; for the procurement of goods and services, as required;
• Supporting the preparation of tenders and proposals for the sale/supply of the company’s products and services in response to Requests for Tenders/Proposals and Solicitations, including review of domestic and foreign government procurement regulations;
• Preparation of Non-Disclosure Agreements, Product Loan Agreements, and other documents using company-approved templates, and development of templates to support the company’s business, including negotiation/drafting of acceptable modifications, as required;
• Ensuring that all contracts comply with company requirements and provide effective contract management, contracts record-keeping and tracking; to ensure compliance with the company’s contractual commitments;
• Identification and assessment of risks and implementation of effective risk management procedures, as required, including drafting of functional/department work instructions;
• Identify, investigate and report potential disputes/litigation and compliance issues to the Director, Contracts and Legal.
• Support contracts and compliance audits, and implement corrective actions as required.

Requirements:

You are the ideal candidate if you are/have:

• Post-secondary degree in law, business, or commerce is preferred.
• 4+ years or Contract Management experience, including drafting and preparation of contracts.
• Demonstrated proficiency and experience in managing complex contracts matters, identifying risks, and developing innovative solutions with a successful record of problem-solving.
• Excellent negotiating and persuasive skills, both in one-on-one and group situations.
• Strong collaboration and effective relationship management capabilities.
• A “hands-on” team player, who takes initiative and drives matters to conclusion in a timely manner.
• Experience applying organizational standards when preparing tenders/proposals, negotiating terms and conditions, and drafting contracts.
• Strong communication (written and verbal) and organizational skills.
• Ability to work independently and to manage a high volume of work at a detailed level in a fast-paced environment.
• Ability to interact effectively with multi-functional team
• Absolute commitment to performing job in compliance with the highest ethical standards.
