Job Description:

Our client, a progressive, entrepreneurial (customer-oriented, solution providing) rapidly growing company is seeking an in-house counsel to join their Kamloops office.

Reporting to the CEO, this position is responsible for a variety of legal matters with particular focus on overseeing and leading the development of contracts, and company agreements as well as the regulatory and corporate secretarial matters for the organization.

The successful candidate will also be responsible for assessing risks and influences and negotiating strategic and innovative solutions in the best interest of the company.

As a senior leader within the company, you will support the strategic direction and culture of the company.

Your responsibilities will include:
- Advising on legal matters relating to master service contracts, employment law, HR, regulatory compliance, corporate governance, and other general corporate/commercial matters
- Working with the various internal teams (Sales, HR, Billing) to ensure that all agreements address customer needs while balancing the need to protect the company’s interests and to provide support and advice for any issues which may have legal impacts on the organization
- Ensuring proper processes are in place to review agreements and make sure that all information within agreements are correct prior to signing of
- Risk management oversight including ensuring that corporate insurance policies are up to date and provide adequate coverage
- Conducting final sign-off on all sales agreements making sure that the company’s interests are protected and company standards are met
- Creating, modifying and reviewing all Master Service Agreements. Ensuring there are no conflicts between company and customer agreements
- Escalate collections efforts of customers delinquent on payments
- Bringing small claims actions against delinquent customers and/or engaging third party collections agencies
- Supporting and advising the billing department by creating assignment agreements for customers wanting to assign their agreements (confirming credit worthiness and corporate status of the assignment agreements)
- Working alongside Corporate Solicitor – to help with the upkeep of corporate minute books; ensure annual filings are completed and timely and that resolutions are completed and filed
- Responsibility for a variety of Corporate Secretarial matters (i.e. Ensure AGM meet the requirements as set out by the Canada Corporation Act. File annual corporate reports with relevant governmental authorities)

Requirements:

You are the ideal candidate if you:

- Have an LLB or JD and are a member of a Canadian Bar
- 3-5 years of Contract/Corporate/Commercial law experience
- Have the ability to work collaboratively and with all levels of the organization and external partners.
- Have a comprehensive understanding of corporate regulatory requirements and governance, including accountability processes
- Have the ability to develop and implement strategic and innovative approaches to issues
- Are able to develop and implement strategic and innovative approaches
- Have strong drafting and negotiation skills, consensus-building and management
- Are able to maintain a high level of confidentiality
- Can work well both independently and within a team environment
- Have an excellent understanding of tech related businesses
