| Our client, a growing international manufacturer, is looking to add 2 Senior Legal Counsel roles to its growing legal department. Reporting to the General Counsel and/or the Senior Director, Legal, the Senior Counsel will be acting as key counsel accountable for providing a full range of commercial/ compliance legal services to the organization. One role will have a focus on Compliance work, with a Commercial Law component, while the other role will be primarily focused on Commercial work, with some Compliance related work. Your responsibilities will include: • Acting as key counsel and legal partner to the Company’s commercial groups, in addition to other business units on a wide variety of interesting matters, including commercial, corporate, finance, tax, regulatory compliance, litigation and risk management. • Providing legal advice and guidance related to a wide range of commercial contracts and other business matters; • Drafting, reviewing, negotiating and providing guidance on a wide variety of commercial agreements; • Providing support to management and advising business units on issues of contract interpretation and disputes; • Managing operational legal risk to reduce litigation exposure against the organization; • Managing external legal counsel as required; • Working with colleagues to continuously improve processes as well as creating, implementing, and ensuring adherence to best practices and policies within both the Legal Department and the organization; • Managing and keeping the organization current on all compliance related issues, and identifying organizational needs and requirements, to ensure organizational compliance; • Identify systemic issues and assist in the development of preliminary recommendations to assist the designated lines of business in addressing the identified issues; • Review policies and procedures as required, to ensure compliance with applicable legal requirements, mitigate reputational risk and reduce exposure to legal liability; • Providing legal and regulatory advice, identifying potential legal risks, and assisting with the development of risk mitigation strategies; • Compliance related issues include: anti-bribery, anti-trust, sustainability, information security, privacy, cybersecurity, information compliance, records retention, document management, sanction and export trade, industry regulatory issues, COVID, crisis management, internal investigation, global movement of people/immigration, employment policy, environmental • Commercial matters include: sales/customer contracts and purchasing/supplier contracts and related disputes, engineering and IP contracts, real estate, oversight of litigation management, investigations regarding employment or fraud issues, tax related to government grants, general employment related matters Requirements: You are the ideal candidate if you have/are:
