Our client, a large, sophisticated organization, is seeking an Associate Counsel to join their existing legal team for a 12 month contract position. The Associate Counsel will report to the Associate General Counsel and should have a minimum of 5 years of strong corporate/commercial transactional experience, drafting and negotiating a variety of contracts. This lawyer will also advise the organization re: legal risk and ensure its compliance with legal and regulatory obligations.

Responsibilities:

• Support the organization’s business units, including drafting, reviewing and negotiating corporate and commercial agreements, maintaining and creating templates, and advising re: contest rules and regulations, privacy and compliance matters;
• Conduct research and analysis re: organizational issues;
• Draft and review corporate policies and procedures and assist with training applicable business units;
• Provide legal advice and support re: regulatory and governance issues regarding the organization; and
• Supervise external counsel on legal matters.

Requirements:

Qualifications:

The ideal candidate will have:

• An LL.B/J.D. and be a member in good standing with the Law Society of Ontario;
• A minimum of 5 years of strong corporate/commercial transactional experience acquired in private practice or In House
• Solid analytical, problem solving, communication and interpersonal skills;
• Professionalism, confidence, be detail oriented, an effective relationship builder, and be capable of managing competing priorities in a fast paced work environment;
• Regulatory experience is considered an asset; and
• Experience with Microsoft Office (Word, Excel, PowerPoint and Outlook) and Microsoft Teams is required.
