Description:  
Our client, a growing e-commerce business in the healthcare sector, is looking to add an In-House Counsel to its growing team.

Reporting directly to the CEO, the In-House Counsel will work with and support management at the company and its group of local and global companies. As the sole legal counsel for the company, you will be responsible for managing all legal related matters for the company.

Your responsibilities will include:
• Reviewing, drafting, editing and negotiating all contracts for the company and subsidiary companies including employment contracts, shareholder agreements, loan agreements, service agreements, SaaS agreements, and intellectual property agreements and trademarking.
• Remaining thoroughly informed of legislative and regulatory changes specific to the company and subsidiary businesses;
• Ensuring contracts are up-to-date and comply with relevant legislation and policies;
• Providing a broad range of legal advice for the company and affiliate companies in order to determine feasibility of goals and prevent/minimize legal risk;
• Accurately and independently managing case load in a timely and professional manner;
• Developing and applying a practical approach to legal issues in accordance with the corporate strategy and overall business goals;
• Conducting all due diligence required for the acquisition of new businesses, as well as the possible sale of businesses;
• Liaising with outside counsel and assisting in the transfer of all files as required;
• Researching international jurisdictions regulations to ensure we are strategically aligned for expansion;
• Other adhoc legal services as required

Requirements:

You are the ideal candidate if you have/are:
• JD or LL.B
• 3-5 years’ relevant experience with a reputable firm or company
• License is in good standing with the Law Society of Ontario
• Highly adaptable with a broad purview and excellent time-management skills
• Able to provide legal agreements in a timely manner to meet business demands in a competitive marketplace
• Comfortable working in a fast pace and versatile environment
• Energetic, multifaceted, willingness to lean new areas of law
• Comfortable handling litigation and enforcement of relevant contracts
• A strategic and creative thinker that can contribute towards planning and risk management
• Solid understanding of Canadian business policies on international subsidiaries and associated filings if applicable
