Senior Counsel or Legal Counsel

This is a new excellent and unique Senior Counsel or Legal Counsel opportunity to join the legal team of this dynamic and collegial public company and report to the Associate General Counsel. This lawyer will provide legal advice on a variety of corporate transactions (such as m & a), they will work on commercial matters, strategic objectives, as well as compliance, regulatory and corporate governance matters. This is an exciting hybrid position. The role is in the GTA. Possibility to also work from Montreal or BC.
  

Responsibilities:
  

• Provide legal advice and guidance on diverse legal matters, including: various local and international corporate transactions and  strategic initiatives;
• Review sophisticated commercial agreements, corporate governance, corporate finance, IP/licensing, corporate structures and strategic matters;
• Support the security and compliance department;
• Oversee and act as the liaison with external counsel as applicable;
• Assist with the development, review and implementation of company policies and particular agreements; and
• Provide guidance re: potential litigation matters.

Qualifications:

The ideal candidate will have/be:
 

• A law degree from an accredited law school and be a member in good standing with a Canadian provincial Bar;
• A minimum of 4 years of pertinent legal experience working at a well established  law firm or In House with expertise acquired in commercial agreements and corporate transactions, such as mergers and acquisitions;
• Strong business acumen and ability to effectively handle competing priorities;
• Solid communication, analytical and interpersonal skills;
• Excellent problem solving abilities, be solution oriented and demonstrate strong attention to detail; and
• Ability to work autonomously and collaborate as a team.
