Our client, a growing internet marketing company is expanding. They are looking to add a Legal Counsel to their Toronto Team.

Reporting to the General Counsel, you will be responsible for providing legal advice and guidance to the company’s Canadian and U.S. business divisions on legal matters affecting policy, operations and project development.

The role will include:

-Providing advice, direction, correspondence, drafting, documents, opinions and presentations in relation to compliance with applicable federal and provincial statutes and common law;
-Negotiating, drafting, reviewing and executing numerous contracts and providing legal advice in the areas of consulting, technical services, procurement, engineering, business development, real estate, operations, intellectual property, dispute resolution, etc.;
-Coordinating the use of outside counsel on various matters and ensuring that they are providing services in an effective and cost efficient manner in accordance with the Legal Department's direction;
-Keeping management informed on relevant Canadian and U.S. Law including pending changes in legislation and regulations affecting the company in its affairs and operations;
-Ensuring effective communications both internally with employees and externally with applicable regulators, industry, and government agencies on all legal matters concerning company operations and activities.


You are the ideal candidate if you:

•Have an LL.B/ JD, and 3+ years of corporate/commercial experience
•Have experience in the technology sector with a thorough knowledge of internet, internet advertising, premium mobile content space.
•Have the ability to oversee complex technical legal issues
•Have experience in and an understanding of regulatory law and procedures.
•Have excellent oral and written communication skills, relationship building and interpersonal skills
•Have excellent judgment, initiative, conceptual thinking, analytical and problem-solving skills
•Are knowledgeable about basic tenets of Canadian and U.S. corporate commercial law.
•Are able to prioritize and handle a high volume of simultaneous matters.
•Have established leadership capabilities, including people development, coaching, mentoring, goal setting and performance management.
•A call to the bar in a U.S. State, preferably New York or California is an asset
•Knowledge of and experience in affiliate marketing is an asset
