A great opportunity for a strong Commercial Lawyer with significant contracts and licensing experience, to join the Calgary head office of a thriving global business!

Our client, a leading global organization in the Oil and Gas industry is seeking to add a Legal Counsel with a strong Commercial Law and Contracts background to their Calgary based team. Reporting directly to the VP, Legal & Corporate Secretary, the Legal Counsel will be integral to the legal team dealing with and overseeing the company’s various contract and commercial legal matters as well as providing legal advice and managing risks associated with global business operations.

As Legal Counsel (Commercial) your responsibilities will include:
• Dealing with and managing, all commercial legal matters
• Drafting and negotiation of contacts and agreements including: customer and supplier contracts, licensing, development and distribution agreements, with a strong IP focus
• Overseeing and managing the companies contractual functions – including managing the review process for all internal contract drafting and negotiation as well as overseeing external counsel with respect to outsourced customer service agreements and contracts
• Working directly with business development, research & development and product management groups to support their initiatives with a particular emphasis on technology agreements
• Involvement in and advising on legal and non-legal issues business issues
• Managing the contractual relationships and providing contract review for Supply Chain
• Assisting on various corporate transactions, as needed;
• Advising management on strategy on a range of issues, and overseeing and reporting on transactions that are being managed by external counsel.
• Working closely with Legal and Senior Management and internal business teams (business development, sales, research & development and product management) on a regular basis to assist with potential risks and legal issues.
• Educating the business teams and individuals involved in negotiating these complex commercial deals such that they are equipped with the necessary knowledge, and subsequently working with them as the agreements are drafted, revised and completed.


• Bachelor of Law or JD
• Member of a Canadian Bar in Good Standing
• 5-7 years of Solid COMMERCIAL Law experience gained at a leading firm in the Commercial Law Department
• Exposure to IP and technology licensing is strongly preferred
• In-House experience is an asset

Skills Required:
• Prior experience dealing directly with multiple clients
• Strong analytical skills and an eye for detail
• Excellent oral and written communication skills and a keen ability to communicate legal concepts in a clear and concise manner
• A true business acumen
• A practical attitude and ability to prioritize tasks in accordance with importance
• Experience dealing with Technology Licensing
• Ability and eagerness to Pragmatic to devise creative and non-legal solutions when appropriate
• A proactive approach to risk management and problem solving
• Team oriented attitude
