Our client, an established multinational company based in the U.S. and a leader in the Food sector, is seeking an In-House Tax Lawyer for its Minnesota office. This is a unique opportunity for a highly motivated tax lawyer to join a thriving company.

The Senior In-House Tax Counsel will report to the company's global tax planning and customs team.

Responsibilities will include:

• Leading regional tax planning projects involving multiple stakeholders (entails issue identification, development of alternative solutions, recommendation to business unit and functions, assistance with implementation, and post-implementation review);
• providing tax advice to business units and other teams with an emphasis on the company's operations outside of the U.S.
• leading the tax work on cross-border capital and legal entity structuring projects, mergers and acquisitions, joint ventures and dispositions;
• reviewing and handling U.S. tax planning issues for the ongoing operations of the global businesses (Subpart F and foreign tax credit planning, trading patterns and finance, transfer pricing, and tax disputes and audits);
• coordinating advice and strategies and U.S. GAAP reporting with other members of the global team, including compliance and corporate finance functions;
• developing legal arguments and managing external counsel or other professionals in connection with audit and litigation in the U.S.;
• providing training to business units and other teams on key tax initiatives and policies; and
• assisting U.S. tax compliance groups with complex reporting issues.


You are the ideal candidate if you:
• have a JD from a top law school
• have 5+years or 10+ years of tax planning experience, with at least 5 years’ experience working for a major law firm or accounting firm
• demonstrate a deep practical and technical understanding of the U.S. tax rules applicable to cross-border transactions and mergers, acquisitions, and dispositions
• demonstrate the capacity to structure, model and optimize outcomes in complex transactions
• have the capacity to lead complex projects and deliver finished work product in a timely manner
• have the ability to identify and resolve issues with limited input from senior team members or third party advisors
• have excellent writing skills acquired through legal training as well as work on I.R.S. rulings, appeals and/or litigation
• have experience managing relationships with outside advisors (e.g., law firms or accounting firms)
• Expertise and practical experience in one or more of the following tax sub-specialties is an asset: partnerships, financial products, income tax accounting and tax procedure / reporting
• MBA or other degree in quantitative area (e.g., economics or finance) is an asset

• Note: this position requires travel up to 8 weeks/year
