Our client, a prestigious international company is looking to add a Sr. Commercial Transactions Lawyer- to their team.

Working as part of the Commercial Transactions team, you will be responsible for drafting valuable “savoir-faire” content for a new brand of products for the Canadian market. These new products provide practical knowledge to the legal community by breaking down complex legal information into useful tools that help legal practitioners improve law firm or in-house efficiencies.

The role will include:
- drafting, writing, and editing, and maintaining commercial transactions content, including: standard documents and standard clauses containing instructive drafting notes, practice guidance notes and checklists, and templates and precedents according to the organization’s writing style;
-monitoring legal practice and market developments in Canadian commercial law;
-developing new ideas for commercial transactions content to be published;
-maintaining relationships with external law firm contributors providing content;
-maintaining and fostering relationships with law firms, lawyers, in-house counsel and industry groups to ensure that the practical information is current, and cutting-edge and meets their needs;
- assisting sales team by participating in sales calls and demonstrating service to potential subscribers; and
- assisting marketing team by participating in webinars and creation of educational programs.


You are the ideal candidate if you have/are:

• 8+ years’ experience working as a Commercial lawyer at a top tier law firm or top company, and are called to the Bar in Quebec;
• LLB/ JD considered an asset;
• Fluently bilingual;
•expertise in all aspects of Commercial law including: general contract principles and boilerplate (standard provisions in all transactional matters);
confidentiality and non-disclosure agreements and provisions (including non-solicitation and non-compete restrictive covenants); supply of goods and services arrangements, including manufacturing, distribution, logistics, warehousing, bills of lading and reseller transactions; privacy and data security; insurance; advertising and marketing; consulting, sales representative and professional services arrangements; and e-commerce and technology transactions.
• Significant practice experience in one or more of the following areas is an advantage: e-commerce and technology (with an emphasis on technology transfers and licensing); privacy and data protection; cybersecurity; social media; outsourcing; advertising and marketing; trade finance and security (including international trade (import/export regulations), consumer protection; franchising; intellectual property; government contracting and procurement; and legal research, writing and editing.

•Have excellent drafting and writing skills and a very close attention to detail;
•Have the ability to write about complex legal issues clearly and simply, in plain English/French;
•enthusiasm, with a desire to improve the efficiency of legal services
•good understanding of the needs and priorities of law firms and in-house counsel and the legal market;
•strong analytical, problem-solving skills and issue resolution skills
•exceptional time management, planning and organizational skills.
•PC skills and familiarity with electronic research techniques
•ability to manage multiple competing deadlines
