Our client, a global software company, is seeking to add a Commercial Counsel to its team in Montreal or Toronto (position is presently remote for the time being). The successful candidate is responsible for providing end-to-end management of the negotiation of contracts including: partnering and supporting sales teams and clients nationally, overseeing best practices and providing legal counsel re: contractual and business issues, as well as product development to manage risk and ensure compliance with contract requirements.


• Draft and negotiate commercial contracts for different business units (ex: NDAs, technology agreements, partnership agreements and vendor contracts);
• Oversee the negotiation process while adhering to corporate standards and protocol;
• Collaborate with sales teams and clients, lead meetings as applicable during the negotiation process to assess risks and assist with deal-closing as well as advise sales teams re: client contracts, terms, disputes and inquiries;
• Maintain records of contract activity, draft and enforce contract processes and ensure integrity of agreements;
• Manage training and activities with all key stakeholders (internal and external) re: contracts;
• Advise re: commercial initiatives, such as compliance activities and policies;
• Review key RFPs and proposal responses to ensure legal compliance and support the RFP Specialist re: tender requests; and
•Research and analyze additional legal matters and perform other functions as required.


The ideal candidate will have:

• An LLB or JD degree. Knowledge and/or experience in Quebec contract law is preferred. An LLM degree is considered an asset;
• Approximately 2-5 years of strong contract drafting and negotiating experience with software and services agreements, ideally in the technology field (experience in software, licensing, IP matters etc.);
• Familiarity with technology and/or software-as-a-service (SaaS) licensing and data privacy is considered an asset;
• An ability to manage competing priorities in a service oriented and sales driven environment;
• Working knowledge and broad exposure to the service sector, experience working with Sales teams and clients;
• Experience drafting or working with RFP responses; experience with tender and sales documents is considered an asset;
• Working knowledge of Canadian Anti-Spam Legislation (CASL) and Freedom of Information and Privacy Act is an asset;
• Proven ability to work effectively with key internal stakeholders in various levels within the organization;
• Strong communication skills (oral and written), attention to detail, analytical and problem solving abilities;
• Excellent organizational abilities, professionalism, be a self-starter, autonomous and results-oriented;
• Working knowledge of Microsoft Office. Basic knowledge of Salesforce or other CRM software is preferred; and
• Bilingual in French and English, oral and written is required.
